On August 17–18, 2026, Nvidia agreed to provide a residual-value guarantee of up to $105 billion to backstop OpenAI's long-term lease of a massive AI data center campus developed by SB Energy, a SoftBank subsidiary. This is not a cloud deal. It is a purpose-built infrastructure lock-in, and Nvidia is the one holding the collateral.

What the Deal Actually Is

OpenAI signed a 20-year lease on the Pike County facility — a tenure that matches power-plant timescales, not software cycles. The campus is planned to reach 10 gigawatts of total power capacity, with at least 8 GW secured under the initial contract. SB Energy and SoftBank have committed more than $4 billion to construct local energy infrastructure and bring at least 10 GW of new generation online to feed it. OpenAI is contributing $40 million toward local priorities in the region.

Nvidia's role goes beyond writing a guarantee. The company is also investing approximately $1.5 billion directly into SB Energy as part of the broader financing structure. That equity stake ties Nvidia's balance sheet to the developer, not just the tenant — a meaningful distinction when you're talking about a campus that will take years to fully build out.

The chip exclusivity clause is the detail founders and infrastructure investors should sit with: the facility will run exclusively on Nvidia accelerators. For the life of a 20-year lease on a 10-gigawatt campus, every GPU slot belongs to one vendor.

The Residual-Value Guarantee as a Financial Instrument

Residual-value guarantees are not new in real estate and equipment finance — but deploying one at $105 billion in AI infrastructure is without precedent. The mechanism works by assuring the lessor that the underlying asset will retain a minimum value at the end of a lease term, effectively absorbing depreciation risk. In this structure, Nvidia is backstopping the long-term economic viability of the physical campus itself.

This matters for a straightforward reason: a 20-year AI infrastructure lease carries enormous technology-obsolescence risk. Anyone lending against that asset needs confidence that the collateral doesn't become worthless if compute architectures shift. Nvidia's guarantee answers that question — by betting its own credit that Nvidia hardware will remain the relevant standard deep into the 2040s. For OpenAI, the structure enables it to commit to dedicated, large-scale compute without owning the real estate outright or raising the full construction capital itself. For SoftBank and SB Energy, it provides the financial backing required to mobilize billions in energy and construction spend. Everyone offloads a different kind of risk — and Nvidia absorbs the residual.

Why Exclusivity at 10 Gigawatts Changes the Competitive Calculus

To put the power figures in context: 10 gigawatts is roughly the continuous output of ten large nuclear reactors. Most hyperscale data center campuses are measured in hundreds of megawatts. The Pike County campus, if it reaches full build-out, would represent a category of compute infrastructure that doesn't yet have a clear precedent in civilian deployment.

The exclusive-chip clause at that scale creates a demand anchor for Nvidia's accelerator roadmap that is largely immune to quarterly procurement cycles. OpenAI cannot quietly switch vendors mid-lease without renegotiating or forfeiting the guarantee structure. Nvidia, in turn, has a captive installation base large enough to shape its own hardware development priorities around — knowing that one customer will absorb a defined volume of next-generation silicon for two decades.

For AMD, Intel, and any emerging accelerator competitor, the implication is direct: a 10-gigawatt facility purpose-built for one chip ecosystem will not be in play for the foreseeable future. Market share battles in AI compute will have to be won everywhere else.

What Pike County signals is the emergence of a new asset class — dedicated AI infrastructure financed the way power plants and toll roads are financed, with long-dated guarantees, utility-scale energy commitments, and anchor tenants locked in by contract rather than convenience.
